1. Who these terms apply to
These Business & Commercial Terms ("Business Terms") apply where you buy, deploy or use Simpled products or services for business, commercial, rental or other non-personal, non-household purposes. They can apply to short-let and Airbnb operators, hotels, aparthotels, hostels, landlords, property managers, letting agents, facilities managers, workplaces, and multi-unit or managed access deployments.
You are not automatically a business buyer just because of the setting. Whether you buy as a business buyer or as a consumer depends on the purpose and circumstances of your purchase, not simply the type of property. A purchase for personal, family or household use is a consumer purchase; a purchase made for business, commercial or income-generating property purposes is a business purchase to which these Business Terms apply. An individual who, for example, occasionally lets a spare room may be a consumer, while a person buying to run a lettings, hosting or property business is a business buyer.
The seller and contracting party is Simpled Tech Limited, registered in England and Wales, company number 13391034, office 2 Eastbourne Terrace, London, W2 6LG, United Kingdom ("Simpled", "we"). support@simpled.tech / +44 (0)20 7096 0094. There is no separate US entity; Simpled Tech Limited contracts with you directly.
By ordering on these Business Terms, you represent that you are buying for business or commercial purposes and not as a consumer for personal, family or household use. If you are in fact a consumer, these Business Terms do not apply — our consumer Terms of Sale and Limited Warranty apply instead. If your status is unclear, contact us before ordering.
2. These terms prevail for business buyers
These Business Terms are the complete terms for your business purchase. Our consumer-facing pages — the Terms of Sale, the Returns, Refunds & Cancellation Policy and the Limited Warranty — do not apply to a business or commercial buyer, whether by way of gap-filling, fallback or otherwise.
The only other Simpled terms that apply to a business buyer are (a) our Website & App Terms, and then only where they are expressly incorporated by these Business Terms or your order and are suitable for a business buyer, and (b) any specific clauses of another page that these Business Terms expressly identify and incorporate. As at the date of these Business Terms, the clauses expressly incorporated are: the software license and account provisions of our Website & App Terms (as referenced in §10.1); and the dispute-resolution and governing-law provisions of our Website & App Terms §15 (as referenced in §13.1). No other consumer clause, remedy, guarantee or cancellation right is incorporated.
These Business Terms, your order and any written commercial agreement we sign are the entire agreement for your business purchase and use. Your own purchase-order or standard terms do not apply and are expressly rejected (UCC §2-207 notwithstanding) unless we agree to them in a signed writing.
3. No consumer rights; returns
There is no cooling-off or cancellation right for your purchase. Our voluntary 60-day consumer money-back guarantee and any consumer-only return rights do not apply to business or commercial buyers.
We are under no automatic obligation to accept a return of correctly supplied, non-defective goods unless we have agreed to do so in writing. We may, at our discretion, accept a return, exchange or cancellation; where we do, our approval may be conditional on the goods being complete and in a condition we agree (for example as-new and unopened), and you may be required to pay our reasonable direct return, inspection, handling and restocking costs. Nothing in this section promises that business returns are normally free, nor does it affect your rights in respect of defective goods or the express business warranty at §7.
4. Orders, authorized purchasers, pricing, tax and payment
Business pricing, minimum order quantities, volume terms and any account or credit terms are as quoted or agreed in writing. Unless we agree credit terms, payment is due at order.
Where you place orders through an account, you are responsible for your authorized purchasers and account administrators and for the orders and settings they make. You must keep account credentials secure and tell us promptly if they are compromised.
Prices are in USD and exclusive of applicable state and local sales and use tax, which is added where we are required to collect it. Where a sale is exempt (for example, a valid resale certificate), you are responsible for providing valid exemption documentation and for any use tax you owe.
We may decline, suspend or cancel a business order or account for non-payment, suspected fraud, breach of these Business Terms, unavailability, export or sanctions reasons, or a pricing or description error. Title and risk of loss pass on delivery, or on our receipt of payment in full, whichever is later.
5. Compatibility, site assessment and acceptable use
Suitability of a product for your specific premises, door types and volume of use is your responsibility. We can advise, and where we offer a site assessment or compatibility check it is guidance only; we do not warrant fitness for a particular deployment unless we confirm it in writing.
You must use, install, configure and maintain the products in accordance with our documentation, the product's stated duty cycle, environmental rating and operating conditions, and all applicable laws (including fire, building, life-safety, ADA and accessibility, landlord-tenant, short-term-rental and licensing requirements for your premises). Where you engage an independently-selected third-party installer, that installer acts under their own contract with you.
You are responsible for your own account, sub-accounts, administrators, and the credentials, access codes, PINs and mobile, RFID or digital keys you issue to staff, guests, tenants or contractors, and for revoking them when access should end. You must maintain a documented backup-access method for every managed door, and must not use the products to unlawfully deny a tenant or occupant lawful access.
6. Third-party platforms and integrations
Where you connect the products to third-party apps, cloud platforms, property-management systems, channel managers or managed-access integrations, those third-party services are supported only where we confirm compatibility. You are responsible for your third-party platforms, your networks and the security of your own systems, and their terms and availability are a matter between you and those providers.
7. Warranty for business and commercial use
Simpled warrants to the original business purchaser that the products will be free from defects in materials and workmanship, under use within the product's stated duty cycle, environmental rating and operating conditions, for 24 months from delivery (or, where a longer period is stated for the product at the point of sale, that longer period). Your exclusive remedy is, at our option, repair, replacement or refund of the price paid for the affected unit.
This business warranty does not cover, and we are not responsible for: use exceeding the product's stated duty cycle or rated cycles per day; wear, ordinary wear and tear, or cosmetic marks arising from use; installation, configuration, maintenance or repair by you or your contractors otherwise than to our documentation; wear attributable to high-traffic commercial use beyond the rating; any deployment we have not confirmed as supported; accident, misuse, abuse, neglect, vandalism, or exposure to conditions outside the product's stated environmental rating or operating conditions; liquid, moisture, fire, flood, power surge or other external cause; unauthorized modification, tampering, opening or disassembly, or removal or alteration of any serial number or label; use with non-approved parts, batteries, fixings or accessories; faults caused by your networks, devices, third-party platforms, connectivity or power; force majeure; and any product not purchased directly from us or an authorized reseller. Consumable batteries are covered for defects on arrival only.
8. Disclaimers and limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT FOR THE EXPRESS WARRANTY IN §7, SIMPLED DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. This disclaimer applies to business and commercial buyers under UCC Article 2 and is made conspicuously and expressly.
Nothing here excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be excluded under applicable law.
To the fullest extent permitted by law, Simpled is not liable for incidental, consequential, special, indirect, exemplary or punitive damages, including lost profits, revenue, business, goodwill, bookings or rental income; property loss or damage; cost of substitute access, locksmith, call-out, re-keying or alternative accommodation; or guest or tenant compensation you pay — arising out of or relating to the products or their use, whether in contract, tort (including negligence) or otherwise.
The products are access-control devices, not a security guarantee or insurance. We are not liable for burglary, forced entry, unauthorized access, theft, vandalism or their consequences, nor for lockouts, access failures or unavailability of remote features caused by depleted batteries, lost or forgotten credentials or backup keys, misconfiguration, your networks or devices, third-party platforms, power, or connectivity outside our control.
Subject to the carve-outs above, our aggregate liability to a business buyer arising out of or relating to an order or deployment, whether in contract, tort (including negligence) or otherwise, is capped at the total amount you paid us for the specific affected product(s) and service(s) under the order giving rise to the claim. This limitation is an agreed, negotiated allocation of risk between two commercial parties, each of which had the opportunity to insure, and applies to the fullest extent permitted by law.
We recommend business buyers carry their own property, general-liability and business-interruption insurance appropriate to their deployment.
9. Data protection and access-log responsibilities
Where you deploy Simpled products to manage access for your guests, tenants, staff, contractors or other individuals, and you decide the purposes and means of processing their personal information (including access events, entry and exit logs, credential issue and revocation and any linked identifiers), you are the responsible party or "business" (controller-equivalent) for that data under applicable US state privacy laws, such as the CCPA/CPRA and similar state laws. Simpled is not that responsible party merely because our product records the data for you.
Your duties include, without limitation: providing your guests, tenants or staff with any privacy notice your state law requires; giving clear notice that entry and exit and access events are logged and how those logs are used and retained; honoring individuals' applicable privacy rights; keeping access data secure; and retaining it no longer than needed. You must not represent that Simpled is responsible for these duties.
Because access logs can reveal individuals' comings and goings, you must give guests, tenants and other occupants appropriate, up-front notice of the smart-lock and its logging before they use the door, and comply with any landlord-tenant, hotel-guest or short-term-rental notice requirements that apply to you.
Where Simpled or its app or cloud processes access data on your instructions to provide the service, we act as your service provider or processor for that processing under appropriate terms; where we process data for our own purposes, such as running and securing the platform, we act on our own behalf for that limited processing. You will indemnify and hold us harmless against claims, losses and costs arising from your breach of your privacy or notice duties in this §9, or from your unlawful deployment of the products.
10. Confidentiality and intellectual property
Each party will keep the other's non-public commercial information confidential and use it only for the purposes of the parties' dealings. All intellectual property in the products, software and documentation remains ours or our licensors'; you receive only the license to use the software described in our Website & App Terms.
11. Export controls and sanctions
You must comply with applicable US export-control and sanctions laws, and must not export, re-export, supply or use the products in breach of them or to a restricted, denied or sanctioned party or destination.
12. Support, interruptions, term and termination
Business support is provided on the channels and within the target response windows we publish or agree; we use reasonable efforts and do not guarantee a specific resolution time unless a written service-level agreement says so. Software, firmware and security updates are provided as described on our Support Lifecycle & Security Updates page.
Remote and app features may be unavailable from time to time for maintenance, security or reasons outside our control. We may suspend or withdraw access to remote or app features, or a business account, for non-payment, security, export or sanctions, or legal reasons, or serious or repeated breach, with notice where reasonably practicable. Sections that by their nature should survive (including §§8, 9, 10, 13) survive.
13. Disputes, governing law and general
Disputes are governed by the dispute-resolution terms in our Website & App Terms §15, and by the governing law of New York stated there, except where a signed commercial agreement between us provides otherwise.

We may subcontract or assign our rights and obligations. You may not assign or transfer these Business Terms without our written consent. If any provision is invalid, the rest remain in force.
