1. These Terms
These Website & App Terms ("Terms") govern your access to and use of our US website (the "Site"), the Simpled mobile application (the "App") and the digital services that connect your Simpled products (together, the "Services"), each provided by Simpled Tech Limited, a company registered in England and Wales (company number 13391034), office 2 Eastbourne Terrace, London, W2 6LG, United Kingdom ("Simpled", "we", "us").
Purchases of products are additionally governed by our Terms of Sale, and our Privacy Policy, Cookie Policy, Acceptable Use Policy, Shipping & Delivery Policy and Limited Warranty also apply. If these Terms conflict with the Terms of Sale in relation to a purchase, the Terms of Sale prevail.
By using the Services you agree to these Terms. If you do not agree, do not use the Services. Where the arbitration agreement in §15 takes effect, your agreement to it is formed by your affirmative acceptance at checkout or sign-up (an "I agree" step), not by a footer link, and you may opt out within 30 days as set out in §15.6.
2. Eligibility and accounts
You must be at least 18 years old to buy from us or create an account.
You are responsible for keeping your account credentials confidential and for activity under your account. Choose a strong, unique password and tell us immediately at support@simpled.tech if you suspect unauthorized use.
Because your account may control physical access to your property, treat it with the same care as your keys. We may suspend an account to protect you or others if we reasonably suspect compromise.
3. The App and software licence
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, and to use the firmware embedded in Simpled products, solely to operate your Simpled products for their intended purpose.
You must not (except to the extent applicable law permits): copy, modify or create derivative works of the App or firmware; reverse engineer, decompile or disassemble them; rent, lease, sell, sublicense or redistribute them; remove proprietary notices; or use them to build a competing product.
App-store terms. If you obtain the App through the Apple App Store or Google Play, your use is also subject to that store's terms.
Software updates. We may issue App and firmware updates, including security updates, feature changes and bug fixes. Some updates may install automatically where needed to keep your product safe and functional.
Third-party platforms. The Services may integrate with third-party platforms (for example voice assistants, smart-home hubs, Matter, or property-management systems). Those platforms are provided under their own terms; we do not promise that any integration will remain available or compatible, and an integration may change or be discontinued. A change, interruption or withdrawal affecting a third-party platform does not necessarily mean the physical product is defective.
Connectivity. Remote features depend on your home Wi-Fi/Bluetooth, your mobile device, supported operating systems, third-party networks and our cloud services, which may be interrupted. Your lock's core locking function is designed to operate locally, but app-based and remote features may be unavailable during outages, updates or maintenance.
Third-party software. Some features may be provided through third-party software platforms (currently including, where applicable, the TTLock platform). We reserve the right to use, change, add to or replace the software or service providers that support these features. Your lock's core local locking function is designed to continue to operate independently of these features. Third-party platforms are provided under their own terms and privacy policies (for example TTLock's), which govern your use of them. This clause does not waive any rights you have under applicable law that cannot be waived.
4. Important safety and security notices
Design intent, not absolute protection. Simpled products are designed to provide convenient, robust access control. No lock — mechanical or electronic — can guarantee that unauthorized entry, burglary or forced entry will never occur.
Not a substitute for insurance. Simpled products are not a substitute for home or contents insurance, professional security services or your own vigilance. Check any lock requirements in your insurance policy before relying on a Simpled product to satisfy them.
Installation. Correct installation on a compatible, well-fitted door is essential. You are responsible for verifying door compatibility and installation quality. Fire doors, common-entrance doors and doors subject to building-code, landlord, HOA or lease requirements may have legal restrictions — check before installing. Nothing in this clause removes our responsibility for inaccurate descriptions or negligent advice.
Batteries and lockout. Battery-powered devices stop operating electronically when batteries are depleted. Monitor battery warnings, replace batteries promptly, and always maintain an available backup entry method in line with the product manual.
Not a life-safety device. Simpled products are not fire-safety, egress or life-safety devices and must not be used in a way that could impede emergency escape. Ensure your installation complies with applicable building and fire codes and that occupants may always exit without a key, code or app.
Access management is your responsibility. You control who receives keys, codes, fobs, cards and app access. Revoke credentials promptly when circumstances change.
Follow the manual. Always install, configure and use products in accordance with the user manual and in-app instructions.
5. Intellectual property
The Services and everything in them — software, text, images, video, product designs, logos and the Simpled name and marks — are owned by or licensed to Simpled Tech Limited and protected by intellectual property laws. Except for the limited licences expressly granted, no rights are transferred to you. You may view, download and print pages from the Site for personal, non-commercial use only.
6. Copyright notices
If you believe content on the Site infringes your copyright, contact us at support@simpled.tech with: identification of the work, the location of the material on the Site, your contact details, and a statement of good-faith belief that the use is not authorized. We will review and, where appropriate, remove or disable access to the material. (We have not designated a DMCA agent; notices should be sent to the contact above.)
7. Your content
If you submit reviews, photos, questions or other content, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt and display it in connection with operating and promoting our business, and you confirm you have the right to grant it. We may remove content that breaches these Terms or our Acceptable Use Policy. You retain ownership of your content.
8. Product information
We take care to describe products accurately, but specifications, compatibility details, images and availability may change and minor variations may occur. Compatibility guidance is general — measure and check your own door against our published requirements before purchase.
9. Acceptable use
You must comply with our Acceptable Use Policy: use the Services lawfully, do not probe or interfere with our systems without authorization, and never use Simpled products or Services to gain or facilitate access to property you are not authorized to access.
10. Disclaimers
Except for the express commitments in our Limited Warranty and to the extent required by applicable law, the Services and the Site are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that remote/cloud features will always be available.
This section concerns the Site and Services. Your rights in the goods you purchase are governed by our Limited Warranty, which preserves implied warranties that cannot be disclaimed under your state's law. Some states do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
11. Limitation of liability
Nothing in these Terms limits liability that cannot lawfully be limited — including liability for personal injury or death caused by our negligence, for fraud, for liability under applicable product-liability law, or for any other liability that cannot be excluded under applicable law.
Subject to the above, to the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill, or the cost of substitute goods or services, arising out of or relating to the Services.
Subject to the above, our total aggregate liability arising out of or relating to the Services is limited to the greater of the amount you paid us for the product or service giving rise to the claim, or US$100.
Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you, and you may have additional rights.
12. Indemnity (business users only)
If you use the Services other than as a consumer for personal, household use, you will indemnify us against claims, losses and costs arising from your breach of these Terms, your unlawful use of the Services, or content you submit. This clause does not apply to consumers.
13. Availability, suspension and termination
We may suspend or withdraw parts of the Services for maintenance, security or legal reasons, and may suspend or close accounts that seriously or repeatedly breach these Terms, with notice where reasonably practicable. You may close your account at any time. Clauses which by their nature should survive termination will survive.
14. Changes to these Terms
We may amend these Terms from time to time (for example, to reflect changes in law, our Services or security practice). The current version is always on the Site with its version date. Changes do not apply retrospectively to orders already placed.
15. Dispute resolution — binding arbitration and class-action waiver
Please note: this arbitration agreement is published here as part of our terms but is not yet in effect. It becomes binding only once our checkout acceptance process (an affirmative "I agree") and the 30-day opt-out route below are operational, and we will not treat it as active until then. Until it takes effect, disputes are handled under the courts named in §16.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS (§15.6).
15.1 Agreement to arbitrate. You and Simpled agree that any dispute, claim or controversy arising out of or relating to these Terms, the Services, or any product purchased from us (a "Dispute") will be resolved by final and binding individual arbitration, rather than in court, except as set out below. This agreement is governed by the Federal Arbitration Act (FAA).
15.2 Carve-outs. This §15 does not apply to: (a) claims that may be brought in small-claims court, if they qualify and remain there; (b) claims seeking injunctive or other equitable relief for actual or threatened infringement or misuse of intellectual property; and (c) any claim or relief that, under applicable law, cannot be required to be arbitrated, including any right to seek public injunctive relief that cannot be waived.
15.3 Class-action and jury-trial waiver. To the fullest extent permitted by law, you and Simpled agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. To the extent enforceable, and except for any claim that proceeds in court under §15.2 or §15.3, you and Simpled each waive any right to a jury trial. If this class-action waiver is found unenforceable as to a particular claim or form of relief, that claim or relief (and only that claim or relief) will proceed in court, and the remainder of this §15 will continue to apply.
15.4 Arbitration procedure — AAA. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (and, where the AAA determines they apply, its Mass Arbitration Supplementary Rules), as modified by these Terms, and consistent with the AAA Consumer Due Process Protocol. If the AAA is for any reason unavailable or declines to administer, you and Simpled will agree on a substitute administrator that adheres to the Consumer Due Process Protocol, or a court will appoint one. The arbitrator will apply applicable law and may award any relief a court could award to an individual, including any remedy available to you under applicable law that cannot be waived. Judgment on the award may be entered in any court of competent jurisdiction. Location and remote participation. The arbitration will be conducted in the county of your residence, by telephone or video, or by an in-person hearing at a mutually convenient location; any location or remote-participation arrangement will be applied so as not to prevent you from pursuing your claim. Fees. The allocation of filing, administrative and arbitrator fees is governed by the AAA Consumer Arbitration Rules and fee schedule and applicable law; consumer fees are limited to, and will not exceed, the amount the AAA Consumer rules require the consumer to pay, and Simpled pays the remaining AAA and arbitrator fees the rules allocate to the business. Reciprocity. The obligation to arbitrate under this §15 is mutual and binds Simpled to the same extent as you.
15.5 Mass / batched arbitration. If 25 or more similar arbitration demands are submitted by or with the assistance of the same or coordinated counsel, the demands may be processed under the AAA Mass Arbitration Supplementary Rules (including any bellwether or batching process) where the AAA determines those rules apply, on terms administered by the AAA.
15.6 30-day opt-out. You may opt out of this arbitration agreement and class-action waiver by emailing support@simpled.tech (mark your message "Arbitration Opt-Out") within 30 days of first accepting these Terms (or of your first purchase), stating your name, address and an intent to opt out. If you opt out, neither §15.1 nor §15.3 applies to you, and disputes proceed under §16. Opting out does not affect any other part of these Terms.
15.7 California and other-state compliance. For a California resident, nothing in this §15 will be applied to require arbitration or litigation of a California-arising claim outside California or under the law of another state where California law prohibits that, and any provision purporting to reach unrelated future disputes is not enforced. Comparable protections of your home state that cannot lawfully be waived are preserved.
15.8 Non-waivable rights and state-law savings. Nothing in this §15 waives any substantive right or remedy that applicable law does not allow to be waived. Where the law of your home state does not permit a particular provision of this §15 to be applied to you, that provision does not apply to you to that extent, and the remainder of this §15 continues to apply.
16. Governing law and venue (for claims not subject to §15)
For any Dispute not subject to arbitration (including if you opt out under §15.6, if a court finds §15 inapplicable, or while §15 is not yet in effect), these Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules, and you and Simpled submit to the state and federal courts located in New York, subject to any mandatory protection of your home state that cannot be waived and to any right to bring a qualifying claim in small-claims court.
17. General
These Terms, with the policies referred to in §1, are the entire agreement between us regarding the Services. If any provision is found invalid, the rest remain in force (subject to §15.3 for the class-action waiver). A failure to enforce a right is not a waiver of it. We may transfer our rights and obligations to a successor; you may not transfer yours without our written consent. We are not liable for delay or failure caused by events outside our reasonable control. Nothing limits liability for fraud.
