1. These Terms
1.1 These Terms & Conditions ("Terms") govern your access to and use of our Ireland website (the "Site"), the Simpled mobile application (the "App") and the digital services that connect your Simpled products (together, the "Services"), each operated by Simpled Tech Limited, a company registered in England and Wales (company number 13391034) with its registered office at 2 Eastbourne Terrace, London, W2 6LG, United Kingdom ("Simpled", "we", "us").
1.2 Purchases of products are additionally governed by our Terms of Sale, and our Privacy Policy, Cookie Policy, Acceptable Use Policy, Shipping & Delivery Policy and Limited Warranty also apply. If these Terms conflict with the Terms of Sale in relation to a purchase, the Terms of Sale prevail.
1.3 By using the Services you accept these Terms. If you do not accept them, do not use the Services.
1.4 Nothing in these Terms limits or excludes your statutory rights as a consumer under Irish or EU law, including under the Consumer Rights Act 2022. Where any term conflicts with a non-excludable consumer right, the consumer right prevails.
2. Eligibility and accounts
2.1 You must be at least 18 years old to buy from us or create an account.
2.2 You are responsible for keeping your account credentials confidential and for activity under your account. Choose a strong, unique password and tell us immediately at support@simpled.tech if you suspect unauthorised use.
2.3 Because your account may control physical access to your property, treat it with the same care as your keys. We may suspend an account to protect you or others if we reasonably suspect compromise.
3. The App and software licence
3.1 We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, and to use the firmware embedded in Simpled products, solely to operate your Simpled products for their intended purpose, in accordance with these Terms and the documentation.
3.2 You must not (except to the extent permitted by law notwithstanding this restriction, including under the Software Directive): copy, modify or create derivative works of the App or firmware; reverse engineer, decompile or disassemble them; rent, lease, sell, sublicense or redistribute them; remove proprietary notices; or use them to build a competing product.
3.3 Software updates and digital elements. We may issue App and firmware updates, including security updates, feature changes and bug fixes. Some updates may install automatically where needed to keep your product safe and functional. Under the Consumer Rights Act 2022 we are obliged to supply the updates (including security updates) necessary to keep goods with digital elements in conformity for the period you can reasonably expect. If you fail to install supplied updates within a reasonable time despite our instructions, we are not liable for a lack of conformity resulting solely from that failure.
3.4 Third-party platforms. The Services may integrate with third-party platforms (for example voice assistants, smart-home hubs, Matter, or property-management systems). Those platforms are provided under their own terms; we do not promise that any integration will remain available or compatible. A change, interruption or withdrawal affecting a third-party platform does not necessarily mean that the physical product is defective; your mandatory consumer remedies remain protected where a product ceases to conform to the contract.
3.5 Connectivity. Remote features depend on your home Wi-Fi/Bluetooth, your mobile device, supported operating systems, third-party networks and our cloud services, which can be interrupted. Your lock's core locking function is designed to operate locally, but app-based and remote features may be unavailable during outages, updates or maintenance, or for reasons outside our reasonable control.
3.6 Third-party software and services. Some app, connectivity and remote-management features may be provided through third-party software platforms and cloud services (currently including, where applicable, the TTLock platform), and/or through Simpled's own software and cloud services. We reserve the right, at our discretion, to use, configure, change, add to or replace the software or service providers that support these features. A change, interruption or withdrawal affecting a third-party platform or remote feature does not necessarily mean that the physical lock is defective. Third-party platforms and services are provided under their own terms and privacy policies, which govern your use of them. Nothing in this clause limits or excludes your non-excludable statutory rights.
4. Important safety and security notices — smart locks
4.1 Design intent. Simpled products are designed to include robust access-control features, but no lock — mechanical or electronic — provides a guarantee against all forms of unauthorised entry.
4.2 Not a substitute for insurance or judgement. Simpled products are not a substitute for home or contents insurance, professional security services or your own vigilance. Confirm with your insurer that a Simpled product satisfies your policy's lock requirements before relying on it.
4.3 Installation. Correct installation on a compatible, well-fitted door is essential. You are responsible for verifying door compatibility and for installation quality. Fire doors, communal entrance doors and doors subject to building, landlord or management-company requirements may have legal or lease restrictions — check before installing. Nothing in this clause removes our responsibility for inaccurate descriptions or negligent advice.
4.4 Batteries and lockout. Battery-powered devices stop operating electronically when batteries are depleted. Monitor battery warnings, replace batteries promptly, and maintain an available backup entry method. Subject to clause 9.1, we are not responsible for lockouts or consequential costs arising from depleted batteries, ignored warnings or misconfigured access.
4.5 Not a life-safety device. Simpled products are not fire-safety, egress or life-safety devices and must not be used in a way that could impede emergency escape. Ensure your installation complies with applicable building and fire regulations.
4.6 Access management is your responsibility. You control who receives keys, codes, fobs, cards and app access. Revoke credentials promptly when circumstances change.
4.7 Follow the manual. Always install, configure and use products in accordance with the user manual and in-app instructions.
5. Intellectual property
The Services and everything in them — software, text, images, video, product designs, logos and the Simpled name and marks — are owned by or licensed to Simpled Tech Limited and protected by intellectual property laws. Except for the limited licences expressly granted, no rights are granted to you. You may view, download and print pages from the Site for personal, non-commercial use only.
6. Your content
If you submit reviews, photos, questions or other content, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt and display it in connection with operating and promoting our business, and you confirm you have the right to grant it. We may remove content that breaches these Terms or our Acceptable Use Policy. You retain ownership of your content.
7. Product information
We take care to describe products accurately, but specifications, compatibility details, images and availability may change and minor variations may occur. Compatibility guidance is general — measure and check your own door against our published requirements before purchase. Nothing in this clause limits your rights in respect of goods that do not conform with their description.
8. Acceptable use
You must comply with our Acceptable Use Policy: use the Services lawfully, do not probe or interfere with our systems without authorisation, and never use Simpled products or Services to gain or facilitate access to property you are not authorised to access.
9. Liability
9.1 Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; liability under the Liability for Defective Products Act 1991 (or successor EU product-liability rules); breach of your statutory consumer rights; or any other liability that cannot lawfully be excluded or limited.
9.2 If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for unforeseeable loss, and we supply the Services for domestic and private use only — we are not liable to consumers for business losses.
9.3 If you use the Services in the course of business: to the fullest extent permitted by law, (a) all implied conditions, warranties and terms are excluded; (b) we are not liable for loss of profits, revenue, business, goodwill, data or anticipated savings, or any indirect or consequential loss; and (c) our total aggregate liability is limited to the greater of €120 and the amount you paid us in the 12 months before the event giving rise to the claim.
9.4 Subject always to clause 9.1, we are not liable for: unavailability of remote features caused by networks, devices, power or services outside our control; losses arising from failure to install, maintain or use products in accordance with the documentation; or losses arising from your failure to keep credentials, codes or backup keys secure.
10. Indemnity (business users only)
If you use the Services in the course of business, you will indemnify us against claims, losses and costs arising from your breach of these Terms, your unlawful use of the Services, or content you submit. This clause does not apply to consumers.
11. Suspension and termination
We may suspend or withdraw parts of the Services for maintenance, security or legal reasons, and may suspend or close accounts that seriously or repeatedly breach these Terms, with notice where reasonably practicable. You may close your account at any time. Clauses which by their nature should survive termination survive.
12. Changes to these Terms
We may amend these Terms from time to time (for example, to reflect changes in law, our Services or security practice). The current version is on the Site with its version date. Changes do not apply retrospectively to orders already placed.
13. General
13.1 Entire agreement. These Terms, together with the policies referred to in clause 1.2, are the entire agreement between us regarding the Services.
13.2 Severability. If any provision is found invalid, the rest remain in force.
13.3 No waiver. A failure to enforce a right is not a waiver of it.
13.4 Assignment. We may transfer our rights and obligations to another organisation; we will tell you if this happens and ensure it does not adversely affect your rights. You may not transfer yours without our written consent.
13.5 Force majeure. We are not liable for delay or failure caused by events outside our reasonable control.
14. Governing law and jurisdiction
These Terms are governed by the law of Ireland, and the courts of Ireland have non-exclusive jurisdiction. As a consumer resident in Ireland or the EU you additionally benefit from any mandatory protections of the law of your country of residence, and you may bring or defend proceedings in your local courts where EU law so provides.
